Terms of Service
Key points. This box is a summary only; the full Terms below control.
- Our services are for businesses, not consumers.
- The initial Engagement Fee is non-refundable: our team starts working as soon as your request is accepted.
- All payments are final. If you cancel, you pay for the work done up to that point.
- You own your custom deliverables once they are paid in full.
- Disputes go to individual binding arbitration in Wyoming. There are no class actions or jury trials.
- Our total liability is limited to the fees you paid in the three months before a claim.
1. Who we are and these Terms
"TX4Tech", "we", "us" and "our" mean Synergy AI Tech Solutions LLC, a Wyoming limited liability company doing business as TX4Tech. "You" and "Client" mean the business that uses tx4tech.com or orders our services, and the individual acting for it.
These Terms of Service ("Terms") govern two things:
- your use of tx4tech.com and its template gallery (the "Site");
- every website, application, AI assistant, integration, hosting, care plan, consulting or other service we provide (the "Services"), and everything we deliver as part of them (the "Deliverables").
You accept these Terms when you do any of the following:
- sign or accept a proposal, quote, statement of work or invoice that references them;
- pay any amount to us;
- use the Site.
If you do not agree, do not use the Site or the Services.
2. Business use only
The Services are offered only to businesses, nonprofits and professionals acting in a business capacity. They are not offered to consumers for personal, family or household purposes. By accepting these Terms, you represent that:
- you are at least 18 years old;
- you have authority to bind the business you represent;
- the information you give us is accurate.
3. Proposals and statements of work
Each engagement is described in a written proposal, quote or statement of work (each, an "SOW") that sets the scope, price, payment schedule and estimated timeline.
- Unless an SOW says otherwise, a quote is valid for 15 days.
- An SOW becomes binding when you accept it in writing (including by email or electronic signature) or pay any amount under it.
Where an SOW conflicts with these Terms, the SOW controls only for that engagement and only if it expressly says it overrides these Terms. Otherwise these Terms control. Your purchase orders or other business forms do not change these Terms, even if we accept or sign them.
4. Fees and payment
- Fixed prices. Project prices are fixed for the scope described in the SOW. Work outside that scope is billed separately (see Section 9).
- Engagement Fee. Work begins only after we receive the initial payment stated in the SOW (the "Engagement Fee"). The Engagement Fee is a non-refundable reservation and mobilization fee. It is fully earned when we receive it, because from that moment we:
- assign and reserve our team's capacity for your project;
- decline other work;
- begin discovery, planning, design and setup.
- Milestone payments. Remaining payments are due as set out in the SOW, typically when a milestone is delivered for review. Invoices are due within 7 days of the invoice date unless the SOW says otherwise.
- Recurring fees. Care plans, hosting and other subscriptions are billed in advance for each billing period and renew automatically until cancelled under Section 14.
- Pass-through costs. Our prices do not include third-party costs, which you pay directly or which we invoice at cost. These include:
- domains, premium plugins, stock media and software licenses;
- SMS and telephone charges;
- AI model usage;
- payment-processing fees.
- Taxes. Prices exclude sales, use, value-added, withholding and similar taxes. You are responsible for all such taxes, other than taxes on our net income.
- Late payment. Overdue amounts accrue a late charge of 1.5% per month, or the maximum rate permitted by law if lower, from the due date until paid. If any amount is more than 10 days overdue, we may pause all work and Services until your account is current. Timelines are extended accordingly, and we may charge a restart fee. You will reimburse our reasonable costs of collection, including collection-agency and attorneys' fees.
- Payment methods. Payments are processed by third-party processors (such as Stripe or Square). We never receive or store your full card number. By saving a payment method, you authorize us to charge it for recurring fees and amounts due under an accepted SOW.
- Price changes. We may change our prices for recurring Services on 30 days' notice. Prices in an accepted SOW do not change for that SOW's scope.
5. No refunds
All fees are non-refundable, except as expressly stated in Section 21 (termination by us without cause) or where a refund is required by law that cannot be waived by contract. This applies to all of the following:
- the Engagement Fee and every milestone payment;
- fees for work performed or delivered, whether or not you choose to use it;
- fees for unused consulting hours, unused change-request hours, or unused portions of a billing period;
- fees for any reason relating to a change of mind, change of business plans, delay caused by you, or a decision not to launch.
You agree that our work begins immediately after your request is accepted and that the Engagement Fee reflects a reasonable estimate of the capacity we reserve and the costs and lost opportunities we incur. It is not a penalty.
6. Chargebacks
If you believe a charge is wrong, you agree to contact us at hello@tx4tech.com and give us 15 days to resolve it before disputing it with your bank or card issuer. Initiating a chargeback or payment reversal for amounts owed under these Terms is a material breach. When that happens:
- we may immediately suspend all Services and Deliverables, including hosting;
- you will reimburse the disputed amount, plus processor fees and our reasonable costs of responding;
- we may submit these Terms, your SOW and our project records as evidence of your authorization and our performance.
7. Cancellation by you
You may cancel an SOW at any time by written notice. If you cancel, all of the following apply:
- we keep all amounts already paid;
- you will pay, within 7 days, for all work performed up to the cancellation date that is not already covered by your payments, at our then-current hourly rates or the pro-rated value of the milestone in progress, whichever is greater;
- you will pay any non-cancellable third-party costs we committed to for your project.
Work in progress is delivered to you only after all amounts owed are paid. Rights to it then transfer under Section 11.
8. Your responsibilities and project delays
You agree to provide, on time, everything we reasonably need. This includes:
- content, images, logos, product and price information;
- account access, credentials and approvals;
- answers to our questions and decisions.
Unless the SOW says otherwise, you will respond to review requests within 5 business days. Timelines move day for day with any delay on your side.
If you do not respond to us or provide required materials:
- for 30 days, we may pause the project;
- for 60 days, we may close it. A closed project is treated as a cancellation by you under Section 7.
Restarting a paused or closed project is subject to our availability and may require a new SOW, a restart fee, or both.
9. Scope, changes and revisions
The SOW defines the scope.
- Change requests. Anything not expressly included is a change request. Examples are additional pages, features, integrations, languages, rounds of revisions, or rework of approved items. We quote change requests separately and perform them only after you approve the change in writing.
- Revisions. Unless the SOW states otherwise, each milestone includes up to two rounds of reasonable revisions to the agreed design or functionality.
- New requirements. Revisions do not include new requirements or reversing decisions you already approved.
10. Delivery and acceptance
When we deliver a milestone for review, it is deemed accepted at the earliest of these:
- you approve it;
- you use it in production, publish it or make it available to your customers;
- 5 business days pass without a written list of specific, reproducible defects against the agreed scope.
We will correct properly reported defects within a reasonable time. The corrected item is then subject to the same acceptance process.
All timelines are good-faith estimates, not guarantees. We are not liable for delays.
11. Intellectual property
- Your Deliverables. When we receive payment in full of all amounts owed under the applicable SOW, we assign to you our rights in the custom materials created specifically for you. These include your site's custom design, the text we write for you, and code written exclusively for your project. Until then, all rights remain with us, and you receive only a limited, revocable license to review the work.
- Our materials. We keep all rights in the following:
- our pre-existing and independently developed materials;
- templates, including those shown in our gallery;
- themes, components, libraries, frameworks, tools, prompts, workflows, scripts and know-how;
- general improvements we develop while working with you.
- Third-party and open-source components are licensed to you under their own terms.
- Portfolio. We may display the Deliverables, your name and logo in our portfolio and marketing. We will stop new uses within a reasonable time after you ask us in writing. We will never disclose your confidential information.
12. Your content and legal compliance
Your content. You are solely responsible for everything you provide or approve, including text, images, trademarks, product and price claims, and customer data ("Client Content"). You represent that you have all the rights and consents needed for us to use it. You grant us a license to use Client Content to perform the Services and to show the Deliverables under Section 11. We may refuse or remove content we believe is unlawful, infringing or harmful.
Your legal obligations. You are solely responsible for your business's compliance with the laws that apply to it, including:
- your own privacy policy, terms and cookie notices;
- consent for calls, texts, recordings and emails (for example, the TCPA, CAN-SPAM and state call-recording laws);
- accessibility obligations;
- health-information rules (HIPAA);
- payment-card rules (PCI DSS);
- advertising and industry licensing rules.
We build to recognized good practices, such as WCAG guidelines and payment processors' hosted checkouts. We do not provide legal advice and do not guarantee that any Deliverable satisfies any law or standard. Where we will handle protected health information, we will do so only under a separately signed Business Associate Agreement.
13. AI assistants and automation
AI assistants, chatbots, voice agents and automations use third-party models whose outputs are probabilistic. They can be inaccurate, incomplete or inappropriate. You acknowledge that:
- you are responsible for how the assistant is configured with your information and for supervising it;
- you are responsible for reviewing its outputs before relying on them;
- you must not use it to make medical, legal, financial, employment or other high-impact decisions without human review;
- you must provide any disclosures required by law (for example, that a caller is speaking with an automated system or that a call is recorded);
- model-provider usage is billed at cost, and the providers' terms also apply.
We are not liable for outputs generated by AI systems or for actions your customers or staff take based on them.
14. Hosting and care plans
- Term and cancellation. Care plans and hosting run month to month, or for the term in the SOW, and renew automatically. You may cancel any time, effective at the end of the current billing period, by written notice at least 5 days before the next billing date. We do not issue partial-period refunds or credits.
- What's included. Each plan includes only what its description or SOW states. Unused change hours do not roll over.
- Availability. We use reputable infrastructure providers and commercially reasonable efforts to keep Services available and backed up. Uptime, backup recoverability and response times are not guaranteed unless a service-level commitment is set out in a signed SOW. Your remedies for failing to meet that commitment are limited to the credits it describes.
- After cancellation. Once all amounts owed are paid, we will provide an export of your site or application files and data in a standard format within a reasonable time on request. Data may be permanently deleted 30 days after the Services end.
15. Third-party services
The Services may rely on third-party products and platforms, such as hosting, domain registrars, payment processors, booking and CRM tools, telephony, mapping, email and AI model providers. Those services are governed by their own terms, and you may need to accept them directly. We are not responsible for third-party services, including their availability, changes, pricing, data practices or discontinuation.
16. Confidentiality
Each party will use the other's non-public business information only to perform under these Terms, and protect it with reasonable care. This does not apply to information that:
- is or becomes public through no fault of the receiving party;
- was already known to the receiving party;
- is independently developed;
- must be disclosed by law (with notice where legally permitted).
Our proposals, pricing and methods are our confidential information.
17. Non-solicitation
During any engagement and for 12 months after it ends, you will not directly or indirectly hire or engage, as an employee or contractor, any person who worked on your project for us. If you do, you will pay us a placement fee equal to 50% of that person's first-year compensation. You agree this is a reasonable estimate of our loss. This does not restrict responses to general job advertisements.
18. Warranty and disclaimers
For 14 days after a Deliverable is accepted, we will correct, at no charge, any reproducible defect that makes it fail to perform materially as described in the SOW. Correcting the defect, or, at our option, re-performing the work, is your sole and exclusive remedy. This warranty does not cover issues caused by:
- changes made by anyone other than us;
- third-party services;
- browser or platform updates;
- misuse.
EXCEPT FOR THAT LIMITED WARRANTY, THE SITE, SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT ANY DELIVERABLE WILL BE ERROR-FREE, UNINTERRUPTED OR SECURE, OR THAT IT WILL PRODUCE ANY PARTICULAR SEARCH RANKING, TRAFFIC, LEADS, REVENUE OR OTHER BUSINESS RESULT.
19. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TX4TECH, ITS MEMBERS, MANAGERS, EMPLOYEES OR CONTRACTORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA;
- COSTS OF SUBSTITUTE SERVICES;
IN EACH CASE ARISING OUT OF OR RELATING TO THE SITE, THE SERVICES OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THEIR POSSIBILITY.
OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE FEES YOU ACTUALLY PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits are an essential basis of our pricing and apply even if a remedy fails of its essential purpose.
20. Indemnification
You will defend, indemnify and hold harmless TX4Tech and its members, managers, employees and contractors from any claims, damages, losses, fines, penalties, costs and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Client Content;
- your products, services, business practices or communications with your customers, including calls, texts and emails sent through the Deliverables;
- your use of the Deliverables or AI outputs;
- your breach of these Terms or of any law;
- any dispute between you and a third party.
21. Suspension and termination by us
- For cause. We may suspend or terminate the Services immediately if:
- you fail to pay;
- you breach these Terms;
- you initiate a chargeback;
- you use the Services unlawfully or in a way that harms us, our providers or others;
- you are abusive toward our team.
- Without cause. We may end an engagement for any reason on 15 days' written notice. If we do, our only obligation is to refund amounts you prepaid for milestones we have not started, excluding the Engagement Fee.
- On any termination, you will pay all amounts owed through the termination date.
- Survival. Sections 4–7, 11–13, and 15–25 survive termination.
22. Dispute resolution and arbitration
Please read this section carefully. It affects your rights.
- Informal resolution first. Before starting any proceeding, the party with a claim must send a written description of it to the other party. Both parties must then try in good faith to resolve it for 30 days.
- Binding arbitration. Any dispute, claim or controversy arising out of or relating to the Site, the Services or these Terms, including their formation, scope or enforceability, will be resolved by final and binding arbitration. The arbitration is administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The arbitration will be seated in Sheridan, Wyoming, and may be conducted by videoconference or on written submissions where the rules allow. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this section.
- Waivers. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The parties waive any right to a jury trial.
- Exceptions. Either party may:
- bring an individual claim in small-claims court;
- seek injunctive relief in court to protect intellectual property or confidential information.
- Time limit. Any claim must be filed within one (1) year after it arises, or it is permanently barred.
- Prevailing party. In any arbitration or action to enforce these Terms or collect amounts owed, the prevailing party may recover its reasonable attorneys' fees and costs.
23. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Subject to Section 22, the state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction, and both parties consent to venue there. The UN Convention on Contracts for the International Sale of Goods does not apply.
24. Use of this website
The Site, including its text, design, code, graphics and template demos, is owned by us or our licensors. Businesses, people, phone numbers, addresses, reviews and prices shown in template demos are fictional examples, not endorsements or real offers.
You may browse the Site for your own evaluation of our Services. You may not:
- copy, download, resell or reuse the templates or Site materials;
- scrape the Site or use it to train machine-learning models;
- interfere with its security or operation;
- misrepresent your affiliation with us.
Links to third-party sites are provided for convenience only.
25. General terms
- Independent contractor. We are an independent contractor. Nothing creates a partnership, joint venture or employment relationship. We decide the means, methods, personnel and locations used to perform the Services, and we may use subcontractors.
- Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control. Examples include:
- outages of internet, hosting, utility or third-party services;
- cyberattacks;
- natural disasters, epidemics, war, government action or labor disputes.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or a successor.
- Electronic communications. You agree to receive notices, invoices and agreements electronically. Electronic acceptance and signatures are binding.
- Notices. Notices to us must be sent to hello@tx4tech.com, with a copy to Synergy AI Tech Solutions LLC, 30 N Gould St #46559, Sheridan, WY 82801. Notices to you may be sent to the email on file.
- Entire agreement. These Terms, together with any accepted SOW and our Privacy Policy, are the entire agreement on their subject and supersede prior discussions.
- Severability and waiver. If any provision is unenforceable, it will be enforced to the maximum extent permitted, and the rest remains in effect. A failure to enforce a provision is not a waiver.
- Changes. We may update these Terms by posting a new version with a new "Last updated" date. Changes apply to Site use from the date posted. They apply to Services ordered or renewed after that date. An accepted SOW keeps the version in effect when it was accepted until it renews.
- Language. These Terms are written in English. Any translation is provided for convenience only, and the English version controls.
